These Terms of Use (“Terms”) govern your access to and use of the Gazel.ai platform (“Platform”), provided by Jamm Design LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Definitions

  • Platform: The software, algorithms, and AI models provided by Gazel.ai, including any updates, modifications, or enhancements.

  • User: Any individual or entity accessing or using the Platform.

  • Content: Any data, information, text, images, or other materials uploaded, downloaded, or created using the Platform.

2. Eligibility

  • You must be at least 18 years old or the age of majority in your jurisdiction to use the Platform.

  • You must provide accurate and complete information when creating an account, including your name, email address, and payment details (if applicable).

3. License to Use the Platform

  • We grant you a non-exclusive, non-transferable, revocable license to use the Platform for lawful purposes, subject to these Terms.

  • You may not:

    • Copy, modify, distribute, reverse-engineer, or attempt to derive the source code of the Platform.

    • Use the Platform to develop a competing product or service.

    • Use the Platform to transmit malicious code, viruses, or engage in data scraping, mining, or similar activities.

4. User Content

  • You retain ownership of any Content you upload to the Platform.

  • By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such Content to provide and improve the Platform, including for AI training purposes, unless you opt out via your account settings.

  • You represent and warrant that you have all necessary rights to upload Content and that it does not violate any third-party rights or applicable laws.

5. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal or unauthorized purpose.

  • Upload Content that is offensive, defamatory, or infringes intellectual property rights.

  • Attempt to bypass security measures or interfere with the Platform’s functionality.

  • Use the Platform to send unsolicited communications or engage in spamming.

6. Intellectual Property

  • All intellectual property rights in the Platform, including software, algorithms, and content provided by us, remain the sole property of Jamm Design LLC or its licensors.

  • You may not use our trademarks, logos, or other proprietary information without express written consent.

  • Social Media Use: You are permitted to use our logo, trademarks, or other branding materials in social media posts to promote or discuss your use of the Platform, provided that such use is non-commercial, does not imply endorsement by Jamm Design LLC, does not modify the branding materials, and complies with our brand guidelines (available upon request at info@gazel.ai). We reserve the right to revoke this permission at any time.

7. Payment Terms

  • If applicable, you agree to pay all fees associated with your use of the Platform as outlined in our pricing terms.

  • All fees are non-refundable unless otherwise stated in a separate agreement or required by law.

  • We reserve the right to cancel orders or suspend access for non-payment or if pricing errors occur.

8. Limitation of Liability

  • The Platform is provided “as-is” and “as-available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • To the maximum extent permitted by law, Jamm Design LLC and its suppliers will not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Platform, even if advised of the possibility of such damages.

  • Our total liability to you for any claim arising from these Terms or your use of the Platform will not exceed the amount you paid to us in the preceding 12 months.

9. Termination

  • We may suspend or terminate your access to the Platform at our discretion, including for violation of these Terms or for any reason without prior notice.

  • Upon termination, your license to use the Platform ends, and you must cease all use.

10. Privacy

  • Your use of the Platform is subject to our Privacy Policy, which outlines how we collect, use, and protect your data.

  • You acknowledge that AI-generated outputs may rely on user data, and you consent to such use unless you opt out via your account settings.

11. Changes to Terms

  • We may update these Terms at any time, at our sole discretion, without prior notice.

  • Continued use of the Platform after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review the Terms periodically for any updates.

12. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of law principles.

  • Any disputes arising from these Terms will be resolved through binding arbitration in Florida, USA, under the rules of the American Arbitration Association, except where prohibited by law.

14. Miscellaneous

  • These Terms constitute the entire agreement between you and Jamm Design LLC regarding the Platform.

  • Our failure to enforce any right or provision will not constitute a waiver of such right or provision.

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
